Terms of Service

1. Who we are

Codev Digital is a senior product studio operating remotely with offices in Lahore, Toronto, London and Dubai. "We", "us" and "our" refer to Codev Digital. "You" refers to the founder, company or individual engaging our services.

2. Engagement

A signed proposal or invoice with a fixed scope, fixed price and start date forms our contract. The 21-day delivery cadence begins on the kickoff date stated in the proposal, after the deposit clears.

3. Payments

• 50% deposit on signing, 50% on launch, unless a written payment plan is in place.
• All amounts are in USD unless otherwise stated, exclusive of any local taxes.
• Late payments incur interest at 2% per month after a 14-day grace period.

4. Intellectual property

On final payment, you own 100% of the source code, designs, content and infrastructure we create for you, outright, with no licensing fees. Pre-existing tools, libraries and frameworks remain owned by their respective licensors.

5. Scope changes

Anything outside the agreed scope is handled as a written change request with its own price and timeline. We never silently bill you for work you didn't approve.

6. Warranties

We warrant our work is performed in a professional manner consistent with industry standards. Bugs reported within 14 days of launch that materially break agreed functionality are fixed at no charge.

7. Limitation of liability

Our total liability for any claim arising out of an engagement is capped at the fees you paid us for that engagement. We are not liable for indirect, consequential or revenue-related losses.

8. Termination

Either party may terminate the engagement with 14 days' written notice. You pay for work completed up to termination; we transfer all assets created to date.

9. Governing law

These terms are governed by the laws of Pakistan. Disputes will first be addressed in good faith between the parties, and failing resolution, submitted to arbitration in Lahore.
